This document sets forth the terms of service ("Terms") for users of the Studio AI website. "Studio AI" refers to the Studio AI website and its services, which are wholly owned by MotionElements Private Limited, a company registered in Singapore. By creating an account, users agree to these Terms. If you do not agree, you must refrain from using Studio AI's tools and services and delete your account if you have already created one.

Account Creation and Usage

1. Account Requirements: Users must be at least 18 years old and capable of entering into a legal contract.
2. Account Security: Sharing accounts is prohibited. Users are responsible for maintaining the security of their accounts and all activities that occur under their accounts.
3. User Responsibilities: Users must comply with these Terms and are accountable for all actions taken through their accounts. Studio AI reserves the right to suspend or terminate accounts that violate these Terms.

AI-Generated Content Usage & Ownership

4. Ownership & License: MotionElements does not claim ownership or copyright over AI-generated content. Users are granted a non-exclusive, non-transferable, non-sublicensable, and perpetual license to use AI-generated content for both commercial and non-commercial purposes.
5. Permitted Uses:
   • Use in digital and print media, including advertisements, websites, social media, and presentations.
   • Incorporation into videos, films, games, and other multimedia projects.
   • Modification and adaptation of AI-generated content for creative purposes.
6. Prohibited Uses:
   • Claiming AI-generated content as exclusively owned or attempting to copyright it.
   • Using AI-generated content to train or develop machine learning models.
   • Using AI-generated content in ways that infringe on third-party rights or violate laws.
7. Exclusivity & Similarity: MotionElements does not guarantee exclusivity or uniqueness of AI-generated content. Similar or identical outputs may be generated for other users.
8. Liability Disclaimer: AI-generated content is provided "as is" without warranties. Users assume full responsibility for ensuring compliance with applicable laws.

Services and Reliability

9. Access to Services: To utilize Studio AI's generative AI tools and services, users must create an account.
10. Service Availability: Studio AI strives for high reliability but does not guarantee uninterrupted service or uptime.
11. Liability Disclaimer: Studio AI is not liable for any damages resulting from the use of its services.

Modifications to Terms

12. Studio AI reserves the right to modify these Terms at any time. Users will be notified of any changes, and continued use of the services constitutes acceptance of the revised Terms.

Purchases and Subscriptions

13. Coins and Membership Services: Users can purchase Studio AI coins ("Coins") or subscribe to access premium features ("Membership Services"). Coins are virtual credits used for generating AI content on Studio AI.
14. Non-Refundable: Coins are non-refundable, non-redeemable for cash, and non-transferable.
15. Purchase Options: Users may make one-time purchases of Coins or opt for a subscription. Subscriptions are not mandatory.
16. Coin Expiry: Unused Coins do not carry over to the next month. If a subscription is terminated, access to previously purchased Coins is revoked.
17. Payment Details: Prices exclude applicable taxes. Studio AI reserves the right to terminate access to Membership Services for unpaid subscriptions.

Content Generation

18. Ownership and Usage: Studio AI does not claim ownership (or copyright) of AI-generated content, allowing users to use it for both commercial and non-commercial purposes.
19. Content Quality: The quality and nature of AI-generated content may vary and are not guaranteed.
20. Legal Compliance: Users must not generate content that is illegal in their jurisdiction.
21. Access Restrictions: Services should only be accessed through the Studio AI website. Automated access is prohibited.
22. Professional Advice: AI-generated content should not replace licensed professional services or advice.

Data Security and Privacy

23. Data Storage: Studio AI stores basic user information during service use.
24. Privacy: User creations are private by default and will only be shared upon user request.

Conduct and Content Restrictions

25. User Conduct: Users agree to adhere to the specified rules and restrictions while using Studio AI.
26. Prohibited Content: Users must not upload, share, or transmit any content that:
    • is unlawful, harmful, defamatory, abusive, harassing, threatening, misleading, or otherwise objectionable;
    • infringes any patent, trademark, trade secret, copyright, or other intellectual or proprietary right of any third party;
    • contains private or personal information of a third party without their consent;
    • contains any unsolicited promotions, political campaigning, advertising, or solicitations;
    • harms or exploits children by exposing them to inappropriate content or asking for personally identifiable information;
    • contains viruses, corrupted data, or other harmful, disruptive, or destructive files or content designed to interrupt, destroy, or limit the functionality of Studio AI;
    • encourages or provides instructions for a criminal offense, violates the rights of any party, or otherwise creates liability or violates any local, state, national, or international law;
    • contains any information or content that you do not have a right to make available under any law or contractual or fiduciary relationships; or
    • we deem, at our sole discretion, to be objectionable or that restricts or inhibits any other person from using or enjoying our Services, or that may expose us or others to any harm or liability of any kind.

Limitation of Liability

27. Service Liability: Studio AI is not responsible for special, incidental, or consequential damages arising from the use of its services.
28. Content Liability: MotionElements is not responsible for any legal claims arising from the use of AI-generated content. Users are solely responsible for ensuring that AI-generated content complies with applicable laws and does not infringe upon any intellectual property rights.

Intellectual Property

29. Studio AI trademarks must not be used without prior written permission.

Miscellaneous

30. This agreement represents the entire understanding between users and Studio AI regarding the use of its services. Users will be notified of any updates, and continued use of the services indicates acceptance of the revised Terms.
